Terms of Service
The rules that govern access to Editorials, the Studio and the material presented on this platform.
Agreement
Editorials is operated by Sterdam Pty Ltd ("Sterdam", "we", "us"). By accessing the platform or creating an account you agree to these terms. If you do not agree, do not use the platform.
These terms apply to the platform itself. Commissioned work is governed by the Master Service Agreement, and any signed engagement document takes precedence over these terms for that engagement.
Accounts and access
Some areas of the platform require an account. You are responsible for the accuracy of the details you provide, for keeping your credentials confidential and for activity carried out under your account.
Guests may open a limited number of detail views before being asked to sign in. This limitation is enforced by the platform and may change without notice.
Access to certain areas, including administrative areas and member only features, is granted at our discretion and may be withdrawn.
The Studio and credits
The Studio allows account holders to generate and refine imagery and motion material. Some generation, editing and export actions consume credits or require an active plan entitlement.
Credits are a unit of access to platform functionality. They are not currency, carry no cash value, and are recorded against your account in our credit ledger. Availability of any particular model, preset, resolution or export option may change.
Free previews may be delivered at reduced resolution and may carry a watermark. Clean exports are authorised on the server before the file is produced or delivered.
- Refund and reversal treatment for credits is set out in the Refund Policy.
- Attempting to bypass credit checks, watermarking or export authorisation is a breach of these terms.
Your responsibilities
- You must have the rights necessary to submit any brief, text, image or other material you upload.
- You must not submit material that is unlawful, infringing, or that depicts an identifiable person without an appropriate basis.
- You must not use the platform to imply endorsement by a person, brand or house that has not granted it.
- You must comply with applicable law in the territory where you use the output.
Prohibited activity
- Copying, scraping, downloading, screen capturing, mirroring or redistributing platform imagery outside the rights granted to you.
- Reverse engineering, probing or interfering with the platform, its authentication or its billing.
- Automated access, bulk collection or resale of platform content or output without written permission.
- Using another person's account, or sharing your account credentials.
Intellectual property
Editorials imagery, platform created creative assets, presets, written editorial content, layout and other materials owned by Sterdam remain the intellectual property of Sterdam Pty Ltd, subject to any rights expressly granted to a client under an applicable agreement.
We do not claim ownership of material you independently upload, or of material owned by a third party. You retain your rights in your own material and grant us only the permission needed to operate the platform and to produce the work you have asked for.
Rights in commissioned deliverables are granted by licence, as described in the Master Service Agreement. Nothing on this platform transfers ownership of Sterdam pre existing intellectual property.
Generated talent and human talent
Talent presented as generated are synthetic creative representations produced by the studio. They are not automatically real, represented or bookable persons, and no likeness of a specific individual should be inferred from them.
Talent presented as human are real people listed as such. Their availability, engagement and use are subject to the applicable booking or representation arrangements, which may involve third parties.
Suspension and termination
We may suspend or close an account where these terms are breached, where use presents a legal or security risk, or where required by law. You may stop using the platform at any time.
On closure, unused credits and plan entitlements may be forfeited except where the Refund Policy or applicable law provides otherwise.
Availability and limitation of liability
The platform is provided on an as is and as available basis. We do not warrant uninterrupted availability, or that any generated output will meet a particular expectation, standard or commercial purpose.
To the extent permitted by law, we are not liable for indirect, incidental or consequential loss, loss of profit, loss of opportunity or loss of data. Where liability cannot be excluded, it is limited to the amount you paid us for the relevant service in the three months before the claim arose.
Nothing in these terms limits rights that cannot lawfully be limited.
Governing law and contact
These terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the South African courts, unless a signed engagement document provides otherwise.
